Template Sections

License scope includes:

Section 2: Restrictions

Section 3: Intellectual Property

Establish ownership rights over the software and its components.

The Software and all copies thereof are proprietary to [Your Company Name] and title thereto remains in [Your Company Name]. All rights in the Software not specifically granted in this Agreement are reserved to [Your Company Name]. The Software is protected by copyright laws and international treaty provisions. You acknowledge that the Software contains valuable trade secrets and confidential information belonging to [Your Company Name].

Section 4: Warranty Disclaimer

Limit warranties provided with the software.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Section 5: Limitation of Liability

Cap the company's potential financial exposure.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL [YOUR COMPANY NAME] OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES.
