Agreement to Terms

By accessing or using the Apidly platform ("Service"), operated by APIDLY LTD ("Apidly", "we", "us", "our"), you agree to be bound by these Terms of Use. If you do not agree, do not use our Service.

Account Registration

To use certain features, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorised access
  • Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these terms or that we reasonably believe are being used fraudulently.

Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to reverse engineer, decompile, or disassemble the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorised access to any part of the Service
  • Use automated means to access the Service without our written permission
  • Transmit viruses, malware, or other harmful code
  • Impersonate any person or entity
  • Use the Service to generate content that is defamatory, obscene, or infringing
  • Resell access to the Service without a valid reseller agreement

Subscriptions and Billing

Plans and Pricing

We offer subscription plans with features and pricing described on our pricing page. We reserve the right to modify pricing with 30 days notice. Existing subscriptions continue at their current rate until renewal.

Payment

All fees are charged in advance on a recurring basis (monthly or annual). Payments are processed by Paddle.com Market Limited ("Paddle"), our Merchant of Record, which handles billing, payments, tax compliance, and subscription management on our behalf. Some transactions may also be processed by Stripe. You authorise us to charge your payment method for all fees due.

Merchant of Record

Paddle.com Market Limited acts as our Merchant of Record for subscription payments. This means Paddle is the entity that processes your payment, manages tax obligations (including VAT/sales tax), and issues invoices. When you subscribe to Apidly, your contractual relationship for payment purposes is with Paddle. For billing support, you may contact both Paddle and Apidly directly.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods unless required by law.

Free Trials

We may offer free trials at our discretion. If you do not cancel before the trial ends, your payment method will be charged for the selected plan.

Intellectual Property

Our IP

The Service, including its design, code, features, documentation, and branding, is owned by APIDLY LTD and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable licence to use the Service during your subscription.

Your Content

You retain ownership of any content you input into the Service. By using the Service, you grant us a limited licence to process your content solely to provide the Service.

Generated Content

Legal documents, policies, and other content generated by our tools are provided to you for your use. You are granted a perpetual, royalty-free licence to use generated content for any lawful purpose. However, Apidly does not claim ownership of generated content and does not guarantee its legal sufficiency.

Disclaimer of Generated Content

Important: Content generated by Apidly's tools is provided for informational purposes only. Generated documents are templates and starting points — they are not legal advice. We strongly recommend having generated content reviewed by a qualified legal professional before relying on it. Apidly is not a law firm and does not provide legal services.

Automated Software Service: Apidly is an automated software platform (Software as a Service). All legal documents, compliance policies, and related content are generated entirely by software algorithms without human intervention. Apidly does not provide human-driven consulting, legal advice, or professional services of any kind.

Limitation of Liability

To the maximum extent permitted by law:

  • Apidly provides the Service "as is" and "as available" without warranties of any kind, whether express or implied
  • We do not warrant that the Service will be uninterrupted, error-free, or secure
  • Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for any indirect, incidental, consequential, special, or punitive damages

Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

Indemnification

You agree to indemnify and hold harmless APIDLY LTD, its officers, directors, and employees from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you submit or generate through the Service

Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Dispute Resolution

Before initiating legal proceedings, you agree to first contact us at legal@apidly.com to attempt to resolve any dispute informally. We will endeavour to respond within 14 days. If the dispute is not resolved within 30 days, either party may proceed with formal legal action.

Termination

We may terminate or suspend your access immediately, without prior notice, if you breach these Terms or if we are required to do so by law. Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your account data after 30 days
  • Provisions that by their nature should survive termination will continue to apply (including IP rights, limitation of liability, and indemnification)

Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Amendments

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
